1. Agreement
These Terms of Service (“Terms”) form a binding agreement between Attestly Inc. (“Attestly,” “we”) and the entity or individual using the service (“Customer,” “you”). By creating an account or using the service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to do so.
2. The service
Attestly provides a software-as-a-service platform that scans connected source-code repositories and generates compliance documents (including AI Trust Center, Privacy Policy, Data Processing Agreement, and OSS Attribution) and a hosted public trust center.
3. Accounts
You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity in your account. Attestly may suspend or terminate accounts that violate these Terms or pose a security risk.
4. Acceptable use
- You will not use the service to violate law or third-party rights.
- You will not attempt to access source code or data you are not authorized to access.
- You will not reverse-engineer, scrape, or rate-limit-evade the service.
- You will not upload malware or attempt to disrupt the service.
- You will not resell the service without our written consent.
5. Customer data & code
You retain all rights, title, and interest in your code, your tenant data, and the documents we generate for you. You grant Attestly a limited, non-exclusive, worldwide license to read your connected repositories and process them solely to deliver the service.
Source code is downloaded into a short-lived ephemeral environment, scanned, and deleted at the end of each scan. We retain only the findings(such as “detected OpenAI in package.json”), not your source files. We do not train AI models on your code.
6. AI-generated output
Documents generated by Attestly are produced by AI systems based on scanner findings and facts you supply. They are drafts intended to assist your legal team. Attestly is not a law firm and does not provide legal advice. You are responsible for reviewing and approving documents before publication.
7. Fees
Paid plans renew automatically at the interval you select. Fees are non-refundable except as required by law. We may change pricing on renewal with at least 30 days' notice.
8. Term & termination
These Terms remain in effect while you have an account. Either party may terminate at any time. Upon termination, your access ends, and we delete your tenant data within 30 days, except where retention is required by law. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, and indemnity) survive.
9. Intellectual property
Attestly retains all rights in the platform, our scanner detector library, our generator templates, and our brand. You may not copy or republish those materials except to use the service as intended.
10. Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATTESTLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE IS ERROR-FREE OR THAT GENERATED DOCUMENTS ARE LEGALLY SUFFICIENT FOR YOUR SPECIFIC USE CASE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUE. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO ATTESTLY IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnity
You will defend and indemnify Attestly against third-party claims arising from (i) your misuse of the service, (ii) your code or data, or (iii) your violation of law. We will defend and indemnify you against third-party claims that the service, when used as permitted, infringes a valid intellectual-property right.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any disputes.
14. Changes
We may update these Terms by posting a revised version. Material changes take effect 30 days after notice; your continued use after that date constitutes acceptance.
